LEGACY BUILDERS CIRCLE MEMBERSHIP AGREEMENT

1. Membership.

The Company grants the Member access to the Legacy Builders Circle membership community upon execution of this Agreement and receipt of the first monthly payment. Access includes all benefits described in Section 2 below.

2. Membership Benefits.

During the active term of this Agreement the Member will receive:

Monthly one-on-one strategy session with Melinda Colon or a designated member of the Company team.

Weekly live support sessions covering questions, opportunity reviews, and pursuit strategy.

Executive order breakdowns and federal and SLED market updates.

Proposal and pursuit feedback beyond the initial 90-day GovCon Advantage window.

Access to the private Legacy Builders Circle community on Skool including community discussions, resource library updates, and networking with other established service business owners pursuing government contracts.

Workshop recordings and GovCon Win Engine resource library updates as they are released.

The Company reserves the right to update, modify, or replace individual benefits within the membership at its discretion provided that the overall value of the membership is maintained.

3. Membership Term and Commitment.

The Member has selected the following membership commitment:

[ ] Annual Membership: $1,297 per month billed monthly for twelve consecutive months.

[ ] Six-Month Membership: $1,497 per month billed monthly for six consecutive months.

[ ] Monthly Membership: $1,997 per month billed monthly with no fixed commitment term.

The selected commitment term begins on the Effective Date. Annual and six-month commitments are binding for the full selected term. The Member agrees to honor the full commitment regardless of usage or participation level.

4. Auto-Renewal.

Upon completion of the selected commitment term this Agreement will automatically renew on a month-to-month basis at the then-current monthly membership rate unless the Member provides written notice of cancellation to [email protected] at least seven (7) days prior to the next billing date.

5. Payment.

Monthly payments shall be charged automatically to the payment method on file on the same date each month beginning on the Effective Date. The Member is responsible for maintaining a valid payment method on file at all times. Failed payments will result in immediate suspension of membership access until payment is received.

6. Cancellation and Refund Policy.

Annual and six-month members may not cancel prior to the end of their committed term. Early cancellation will result in immediate loss of membership access with no refund of the current month's payment or any remaining months in the committed term.

Monthly members may cancel at any time by providing written notice to [email protected] at least seven (7) days prior to the next billing date. Cancellation will take effect at the end of the current billing period. No partial refunds will be issued for the current month.

The Member knowingly, intentionally and irrevocably agrees not to chargeback any payments and to resolve all conflicts with the Company directly pursuant to the terms herein. The Member is responsible for all costs associated with chargebacks.

7. Access and Community Standards.

Membership access is granted to the individual Member only and may not be shared, transferred, or assigned. The Member agrees to engage with the Legacy Builders Circle community in a professional and respectful manner. The Company reserves the right to terminate membership immediately and without refund for violation of community standards or conduct deemed detrimental to the community.

8. Confidentiality.

The Member acknowledges that content, strategies, resources, and discussions shared within the Legacy Builders Circle are proprietary and confidential. The Member agrees not to share, reproduce, or distribute any community content outside of the Legacy Builders Circle without the prior written consent of the Company.

9. No Guarantees.

The Company makes no warranties or guarantees with respect to specific results from membership in the Legacy Builders Circle. Government contracts are awarded based on merit, qualification, and factors outside the Company's control. Individual results may vary.

10. Governing Law and Venue.

This Agreement shall be governed by the laws of the State of Florida. In any claim to interpret or enforce the terms of this Agreement, venue shall exclusively lie in Orange County, Florida. The prevailing party shall be entitled to reasonable attorneys fees and costs. The parties KNOWINGLY, VOLUNTARILY AND IRREVOCABLY WAIVE THEIR RIGHT TO JURY TRIAL FOR ANY ACTION RELATING TO OR DERIVING FROM THIS AGREEMENT.

11. Entire Agreement.

This Agreement contains the entire understanding of the parties with respect to the Legacy Builders Circle membership and supersedes all prior agreements and understandings between the parties with respect to such subject matter.

12. Amendment.

This Agreement may not be amended without the prior written consent of both parties.
